Using A Corporate Kit And Seal

By Juliette Cruz

The economy is greatly powered by a significant number of small and growing businesses. As individuals find themselves in the extraordinary position of starting their own company, the need for formalizing the company becomes very important. There are many ways to store business records, but having a corporate kit and seal helps by providing everything necessary to the process.

You will receive a binder that includes tabs and often have the company name embossed on the spine. The tabs that are included help keep the legal documents in order so you can quickly make sure you are in compliance with state and federal filing laws. Keeping them all in one place helps when you have to perform functions that need copies of the official paperwork.

There are several official organizing documents that must be filed with the state. These include the articles of incorporation, bylaws, and others depending on the government regulations. When filed, the state usually provides some sort of official acknowledgment. These must all be kept for the duration of the business life. Many have to be refiled on a yearly basis to prove the ongoing existence and activity of the business.

Ownership often changes over the life of a business. In some cases, you may take on a partner that has contacts or expertise in a certain field. Others may sell a percentage of the company to raise needed capital for expansion. Regardless of the reason, it is critical to keep accurate records about the ownership with other corporate paperwork.

Another set of records to keep are the company minutes. Most states require at least one company meeting per year. This is to prove the company is continuing to operate. Even if there is only one member of the corporation, the minutes of the meeting must be written and stored with other business paperwork.

The corporate embosser that is included creates an official look to company documents. Though they are not legally required, they are very useful. If you want to make sure that certain paperwork is official, you can use the embosser to create a raised seal on the paperwork. This creates authenticity.

Issuing stock raises additional legal requirements. While it is possible to simply print official looking stock certificates, the forms included in most of the packs are generally much nicer and have a place for you to emboss the company seal. These give the purchaser and official record that they have ownership in the company.

It is very important to keep all of the official documents in one place. A corporate kit and seal provides the needed paperwork to form the organization. It also provides a single place for you to store everything that is critical to the ongoing existence of the business. Many of these documents are legally required and must be kept for the entire existence of the company.
